Forge Clarity Terms and Conditions

1. Acceptance of Terms

By accessing or using Forge Clarity (the “Service”), a SaaS project and program management platform operated by [Your Legal Company Name], located at [Company Address, City, Country] (“we”, “us”, or “our”), you agree to be bound by these Terms and Conditions (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

2. Description of the Service

Forge Clarity is an opinionated, minimal, human-first project and program management tool designed for Project Managers, Program Managers, and their stakeholders. The Service provides a single primary canvas showing project objectives, three-pillar health (Budget, Planning, Resources), priorities, risks, decisions, milestones, activities, notes, and related features. Additional capabilities include program roll-ups, portfolios (when licensed), one-click PDF/PPTX exports, AI-assisted summaries (powered by Azure OpenAI where enabled), immutable audit logging, and company branding. The Service is offered in standalone and organization (multi-user) modes with role-based access (Viewer, PM, Program Manager, Portfolio Manager, Admin). Features and limits are governed by your active subscription plan and organization entitlements (see Section 4).

3. User Accounts and Responsibilities

3.1

You must provide accurate, current, and complete information when creating an account.

3.2

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3

Accounts are subject to role-based permissions as defined in our Permissions Matrix (PM, Program Manager, Viewer, Admin, etc.). You may only use the permissions granted to your role and organization.

3.4

Organization Administrators are responsible for managing users, roles, and Visible-to-Viewers settings within their tenant.

3.5

You must comply with all applicable laws and these Terms.

4. Subscriptions, Payments, and Licensing

4.1

The Service is provided on a subscription basis. Pricing and plan details are available on our marketing site (getforgeclarity.com) and are processed via Stripe.

4.2

Your subscription grants organization-level entitlements that map to Licensing limits and feature flags (e.g., maximum number of PMs/Program Managers, EnablePortfolios, EnableAISummaries, EnableAnalytics, etc.). Viewers are typically free or low-cost.

4.3

Payments are charged automatically via Stripe. You authorize us to charge your chosen payment method for all fees.

4.4

You are responsible for all taxes, duties, and governmental charges (except our income taxes).

4.5

We may modify pricing with notice; continued use after changes constitutes acceptance.

4.6

Local licensing (role limits and feature flags) applies by default; optional central license validation may be enabled.

5. Free Trials and Demo Mode

We may offer free trials or demo mode with seeded data. Trial/demo accounts are subject to these Terms and may be terminated at any time. Data created in demo mode is not retained as production data.

6. Intellectual Property

6.1

The Service, including its software, design, logos, and all underlying technology (including but not limited to the Clean Architecture implementation, primary canvas, three-pillar health model, and audit system), is owned by us or our licensors and protected by copyright, trademark, and other intellectual property laws.

6.2

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription term solely for your internal business purposes in accordance with these Terms.

6.3

You retain all rights to your own data and content (“User Content”) uploaded or created within the Service (projects, programs, risks, decisions, notes, etc.).

7. User Content and License Grant

7.1

You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and process your User Content solely as necessary to provide, maintain, and improve the Service (including AI-assisted summaries where enabled).

7.2

You represent that your User Content does not infringe third-party rights and complies with these Terms.

7.3

We do not claim ownership of your User Content.

8. Acceptable Use and Prohibited Conduct

You agree not to:

  • Use the Service for any illegal, harmful, or fraudulent purpose;
  • Attempt to circumvent licensing limits, role restrictions, or feature gates;
  • Reverse-engineer, decompile, or otherwise attempt to discover the source code of the Service (except as permitted by law);
  • Introduce viruses, malware, or other harmful code;
  • Overload or interfere with the Service’s infrastructure;
  • Share access credentials or allow unauthorized users to access your organization’s data;
  • Use AI-assisted features (where available) to generate content that you do not review or take responsibility for.

9. AI Features

Certain features (e.g., AI-assisted summaries and health-note suggestions) use third-party AI services (Azure OpenAI). These outputs are assistive only and provided “as is.” You remain fully responsible for reviewing, verifying, and using any AI-generated content. We make no warranty as to the accuracy, completeness, or reliability of AI outputs.

10. Data Protection and Privacy

10.1

Our Privacy Policy explains how we collect, use, and protect personal data. It forms part of these Terms.

10.2

We implement minimal GDPR-compliant self-service tools allowing users to export their personal data (JSON) and request account deletion (with anonymization).

10.3

For organization tenants, the Administrator controls data access in accordance with the Permissions Matrix.

10.4

Immutable audit logging is performed for compliance and security purposes.

11. Termination and Suspension

11.1

You may cancel your subscription at any time via your Stripe portal or by contacting support; cancellation takes effect at the end of the current billing period.

11.2

We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or if required by law.

11.3

Upon termination, you must cease using the Service. You will retain access to export your User Content for a limited period (as specified in the Privacy Policy) before it may be deleted.

12. Disclaimers and Limitation of Liability

12.1

The Service is provided “as is” and “as available” without warranties of any kind.

12.2

We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements. Project health indicators and AI outputs are tools only and do not replace professional judgment.

12.3

To the maximum extent permitted by law, our total liability shall not exceed the fees you paid to us in the twelve (12) months preceding the claim.

12.4

We are not liable for indirect, consequential, incidental, special, or punitive damages (including loss of data, profits, or business interruption).

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your User Content, or your violation of any third-party rights.

14. Changes to the Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice. Continued use after the effective date constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of [choose jurisdiction, e.g., the Netherlands / England and Wales / State of California, USA], without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of [city/country].

16. Miscellaneous
